Section 3.061 - Supplemental Provisions for Restated Certificate of Formation for Nonprofit Corporation(a) In addition to the provisions authorized or required by Section 3.059, a restated certificate of formation for a nonprofit corporation may omit any prior statements regarding the number of directors and the names and addresses of the persons serving as directors and, at the corporation's election, may insert a statement regarding the current number of directors and the names and addresses of the persons currently serving as directors.(b) If the nonprofit corporation is a church in which management is vested in the church's members under Section 22.202, and the original certificate of formation is not required to contain a statement to that effect, any restated certificate of formation for the church must contain a statement to that effect in addition to the information required by Section 3.059.Tex.
